Search Engine Optimization (SEO) Terms, Conditions, and Disclosures

1. Note that all services for search engine optimization are non-refundable. The Service Provider will optimize the description before submission. However, the Service Provider will not be responsible for any errors, edits or problems caused by the search engines.


2. The Service Provider reserves the right to replace any of the search engines above that goes out of business or drops out of popularity with a new major search engine that has gained popularity during the term of this agreement.


3. In no way does the Service Provider guarantee a specified number of visitors that will be directed to the site. We are only offer to increase the Client's web presence and visibility through our search engine optimization efforts.


4. The client will provide a list of keywords that correlates to the number of terms allowed for the select package for optimization at the end of this agreement as an attachment. The Service Provider will research keywords and will recommend replacing some of them before the start of the project. The Client will have final approval of keywords, taking into consideration the Service Provider's recommendations. The client will not hold the Service Provider liable for using keyword(s) which the Provider recommended the Client not select.


5. The Client agrees to provide FTP access to upload 5-15 pages that have been optimized (and pointing) to the domains above whenever requested by the Service Provider or if FTP access cannot be provided, then the files will be emailed to the Client for upload. The client agrees to upload the files within one week of receiving them. If the Client Company fails to upload the files in a one week period then the site will be considered in a "live" state and the chosen on-going monthly SEO maintenance plans will begin.


6. The Client is responsible to let the Service Provider know of any current or past search engine optimization efforts to the site. This includes but is not limited to alternate domains being used, any redirects that are in place, any link building strategies and optimization that is or has taken place.


7. If the Client Company chooses to make web site updates to his/her site, the Service Provider encourages the Client Company to download a current copy of the site before making any changes to preserve the current optimization in place. If the Client Company makes changes to their website and overwrites the on-page optimization efforts, the Service Provider will re-optimize the website 1 time at no cost. If this happens more than 1 time, the Client Company will be charged for the time it takes to re-optimize the website at a rate of $105 per hour (or current billable rate of Service Provider).


8. If the Client Company uses alternate domain names mapped to their website, these can be substituted for search engine optimization. The Service Provider reserves the right to use additional domain names for this optimization service and redirect the traffic to Client at no additional cost to the Client.


9. Search engines reserve the right to drop websites and rankings from their databases without notice, warning or explanation. By signing this agreement, client understands the inherent risks of search engine positioning and agrees to not hold the Service Provider liable for any losses or economic damages as a result of fluctuations that may occur in any search engine.


10. Any claim or legal action arising out of failure, malfunction, or defect or omission in the Service Provider services must be brought within one (1) year of such occurrence, or such claim shall be deemed waived.


11. The SEO program will begin when the list of target keywords is approved by the Client. If the keyword list is approved before the 15th of the current month, the start date for the program will be the 1st of that month. If the keyword list is approved on or after the 16th of the current month, the start date will be the 1st of the following month.


12. The Service Provider reserves the right to replace any third-party press release submission companies and replace with a better third-party press release submission company at any time.


13. The SEO audit report service does not include any on-page or off-page SEO services. It is only a report of suggestions to improve search engine rankings on your website. The Client Company will be responsible for any on-page or off-page SEO changes unless they choose to hire Sharp Innovations to manage their SEO services. If Client Company chooses to hire Sharp Innovations as their SEO service company they will be subject to the set-up fees and monthly payments as outlined in Section IV, A.


14. A 30 day written notice is required by the Client Company to cancel the on-going SEO services. All services for search engine optimization are non-refundable.


15. Service Provider reserves the right to expand, amend or change all SEO service programs, and pricing. Any client base wide changes to SEO services will be made available to the Client Company upon request or at program initiation upon site launch, if applicable.
